Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (the "Merchant", "you", or "your") and Joe Della Mora, an individual doing business as Rankmore, with a principal place of business at 3211 Cahuenga Blvd W, Los Angeles, CA 90068, USA ("Rankmore", "we", "us", or "our") and govern your installation and use of the Rankmore Shopify application (the "App"), rankmore.app (the "Site"), and any related services we provide (collectively, the "Services").

By installing the App, creating an account, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

To use the Services you must (a) be at least the age of majority in your jurisdiction, (b) be authorized to bind the entity operating the Shopify store you connect, (c) maintain a Shopify store in good standing, and (d) comply with Shopify's Terms of Service and Acceptable Use Policy.

2. The Services

Rankmore is an AI-assisted search-engine-optimization tool for Shopify merchants. Core capabilities include:

• PDP suggestions — atomic, accept-or-reject recommendations to product page titles, meta tags, headings, image alt text, FAQ blocks, JSON-LD schema, and product handles
• Hub-and-spoke content campaigns — AI-generated blog content drafts (a hub article and 3–8 spoke articles depending on tier) with internal linking
• Press release distribution — optional add-on; AI-drafted press release distributed via third-party newswire on your approval
• Smart cross-campaign linking — proposed internal-link edits using semantic similarity
• Broken-link checker and 301 redirects — proposed redirects installed on your approval via Shopify's URL Redirects API
• Keyword and AI-engine visibility tracking — periodic position checks and visibility scoring, included on every subscription plan

2.1 Approval-first model

Rankmore is built around explicit per-change approval. No content, edit, redirect, or press release is published, applied, or distributed without your express in-app approval. You are solely responsible for reviewing each suggestion before approving it.

3. Account and Shopify integration

Installation requires a valid Shopify store and authorization of the OAuth scopes listed in our Privacy Policy. You authorize Rankmore to use the access token Shopify issues to read and (per your approvals) write the data within those scopes for the purpose of providing the Services. You may revoke this authorization at any time by uninstalling the App from your Shopify admin.

4. Pricing, billing, and refunds

4.1 Subscription plans

Rankmore offers three recurring subscription plans — Starter ($14.99 USD/month), Growth ($49.99 USD/month), and Unlimited ($149.99 USD/month). Each plan grants the monthly campaign quota described on our pricing page at the time of subscription. Subscriptions auto-renew every 30 days through Shopify Billing until cancelled. You may cancel at any time from your Shopify admin under Settings → Billing.

4.2 Billing commencement

All plans are billed on activation. Rankmore does not offer a free trial; the first charge is applied through Shopify Billing when you subscribe, and the subscription auto-renews every 30 days until cancelled.

4.3 Monthly campaign credits and rollover

Each subscription plan grants a defined number of new campaign credits per 30-day billing cycle (Starter: 1, Growth: 5, Unlimited: unrestricted subject to fair use). Unused credits roll over for up to three subsequent billing cycles before expiring. Fair use on the Unlimited plan applies above 100 campaigns started in any 30-day window and is enforced in-app.

4.4 Press Release add-on

The Press Release add-on is sold at $99 USD per credit as a one-time charge. Each credit is assignable, post-purchase, to any active campaign. Once a credit is consumed (i.e., the press release is distributed), it is non-refundable.

4.5 Taxes

Prices are exclusive of any applicable sales tax, VAT, GST, or similar levies, which Shopify calculates and adds at checkout based on your store location.

4.6 Refunds

Subscription charges are not refundable for partial billing periods. If the Day-30 ranking gate report shows that a campaign demonstrably did not move the original target keyword AND you followed the recommended approval workflow, you may request a credit toward a future campaign within 14 days of the report by emailing hello@rankmore.app. Press Release add-on credits are non-refundable once distributed. We may, in our sole discretion, issue refunds in cases we determine warrant them.

5. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or third-party right
• Generate or publish content that is unlawful, deceptive, infringing, defamatory, harassing, hateful, or that promotes harm
• Use the Services for keyword spam, link schemes designed to manipulate search engines in bad faith, scraped content reposting, deceptive cloaking, or any other practice prohibited by Google's Search Essentials, Bing's Webmaster Guidelines, or equivalent
• Reverse-engineer, decompile, or attempt to extract source code or model weights from the Services
• Resell, sublicense, or provide the Services to third parties as a managed service without our written consent
• Access the Services through automated means in excess of normal interactive use, or interfere with the operation or security of the Services
• Use the Services to operate a Shopify store selling content or products that violate Shopify's Acceptable Use Policy

We reserve the right to suspend or terminate your access if we reasonably believe you have violated this Section.

6. AI-generated content

The Services use third-party large language models (including those from Anthropic and OpenAI) and image generation models (including Google Gemini and OpenAI). You acknowledge:

• AI-generated content can contain inaccuracies, fabrications, or unintended associations. You are responsible for reviewing every suggestion before approving it.
• Rankmore does not guarantee the originality, factual accuracy, or non-infringement of AI-generated content. We run an in-house Human Voice score across deterministic checks to flag content that reads like raw model output, but the final responsibility for what you publish rests with you.
• Where you approve and publish content, you do so as the publisher under your own Shopify store and are responsible for its compliance with applicable laws and platform policies.
• To the extent we have rights in AI-generated content, we grant you a perpetual, worldwide, royalty-free licence to use that content for your business, including continued use after you cancel or uninstall the Services.

7. SEO and ranking disclaimers

Search engine and AI engine ranking outcomes depend on many factors outside our control, including competing pages, search engine algorithm changes, your site's existing authority, content quality, technical SEO health, and market conditions. We do not guarantee any specific ranking, traffic, conversion, or revenue outcome. The Day-30 ranking report is a measured outcome, not a promised one.

8. Intellectual property

Rankmore retains all right, title, and interest in and to the Services, including the App, Site, all underlying software, models, prompts, designs, and the "Rankmore" trademarks. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services solely as permitted by these Terms.

You retain all right, title, and interest in your store, your products, your existing content, and any content you approve and publish through the Services.

9. Third-party services

The Services integrate with Shopify and several third-party providers (see our Privacy Policy, Section 5). Your use of those third-party services is subject to their own terms. Rankmore is not responsible for the availability, accuracy, or content of any third-party service.

10. Confidentiality

Each party may disclose information that is marked or reasonably understood to be confidential. The receiving party will use reasonable care, no less than it uses for its own confidential information of similar nature, to protect such information and will use it solely for the purposes of these Terms. This obligation does not apply to information that is or becomes public without breach, was independently developed, or is required to be disclosed by law.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, ORIGINAL, OR FIT FOR ANY PARTICULAR USE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKMORE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100 USD).

13. Indemnification

You will defend, indemnify, and hold harmless Rankmore and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) content you approved and published through the Services; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of any third-party right.

14. Term and termination

These Terms apply for as long as the App is installed on your Shopify store. Either party may terminate these Terms at any time: you, by uninstalling the App; us, by suspending or removing your access if you breach these Terms or if Shopify removes the App from the Shopify App Store. Sections that by their nature should survive termination (including 6, 8, 11, 12, 13, and 16) will survive.

15. Changes to the Services or Terms

We may modify the Services at any time. We may modify these Terms by posting an updated version at rankmore.app/terms and updating the "Last updated" date. For material changes, we will provide reasonable notice (e.g. via the App, by email, or by another reasonable means). Your continued use of the Services after changes become effective constitutes acceptance.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of California and the federal laws of the United States applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, for any dispute arising out of or relating to these Terms, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

17. Miscellaneous

Entire agreement. These Terms (together with the Privacy Policy and any order forms) are the entire agreement between you and Rankmore regarding the Services and supersede all prior or contemporaneous understandings.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices. Notices to Rankmore must be sent to hello@rankmore.app. Notices to you may be sent to the email address associated with your Shopify store.

Force majeure. Neither party is liable for failures or delays caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, network or power outages, or third-party service failures.
